GOVERNING BODY OF THE MED The Shelby County Health Care Corporation was approved at an organizational meeting of the Board of Directors on June 24, 1981. The elected Directors present were as follows:: William A. Dick Charles Perkins, Chairman of the Board of County Commissioners, and Gavin Gentry, attorney and incorporator of the corporation, gave a briefing to the new Directors. During that meeting there was a discussion of the purpose of the corporation. It was stated that after discussions and negotiations with representations of Methodist Hospital, the Board of County Commissioners on June 15, 1981 approved a Lease Agreement between Shelby County and a new not-for-profit corporation entitled Shelby County Health Care Corporation. The Lease Agreement leases the City of Memphis Hospital to the Shelby County Health Care Corporation, which would operate the hospital. The Lease Agreement is to become effective July 1, 1981 after the dissolution of the Memphis and Shelby County Hospital Authority, which had operated the hospital for several years. The Lease Agreement was subject to the approval of this corporation. Shelby County would continue to provide funds for the operation of the hospital, and the amount of the county funding would be subject to the approval of Shelby County Government. Subject to the approval of this corporation it was planned that the operation of the hospital be effected through a management contract between Shelby County Healthcare Corporation and American Medical Management Hospital Group, Inc., operated by Methodist Hospital personnel. During the discussion, it was pointed out that Shelby County Health Care Corporation was not an agency of the county government and one of the principal reasons for dissolving the Memphis and Shelby County Hospital Authority and leasing the hospital to Shelby County Health Care Corporation was to remove the county government from the operation of the hospital except to the limited extent set forth in the Lease Agreement. A Charter was filed making the Shelby County Health Care Corporation the sole incorporator with the Secretary of State, State of Tennessee, with amendments to conform with the proposed lease agreement previously approved by Shelby County. Accordingly, upon Motion made by Mr. Dick and seconded by Dr. Parrott, the charter was unanimously accepted by the Board of Directors. By-laws for the new corporation were presented, and unanimously adopted by the Directors.
